The core problem is that passive index funds now control roughly half of publicly traded shares and largely outsource shareholder voting to advisory firms ISS and Glass Lewis.

Those firms own no shares themselves and often cast votes based on political considerations unrelated to shareholder interests, which is a systemic issue beyond Tesla.
